Payment (payment for subscribed securities; payment date; payment in full)
The payment for subscribed bonds or shares, i.e. the partial (minimum subscription payment; Mindestliberierung) or full payment of the allotted securities. – If, in the case of a joint-stock company, the payment does not consist in whole or in part of cash, but is made by way of a contribution in kind (non-cash capital contribution), this is referred to as formation by subscription in specie; see Article 628 CO. A payment can also be made by offsetting against receivables. – The date on which a payment for subscribed securities is to be made by the purchaser. – In older financial language, also generally the release from a debt by payment. – See agreement, stock options, employee shares, compensation, subscription.
