Market, regulated (regulated market trading)

A segment of German stock exchanges precisely defined in the stock exchange rules and regulations with prescribed minimum standards that comply with the European Securities Services Directive; see Articles 49 et seq. Stock Exchange Act. Companies using this market require a prospectus approved by the supervisory authority when they are launched. Companies from the European Economic Area or a third country may be included in the regulated market without admission. The prerequisite for this is that the issuer is subject to admission requirements and admission obligations on its home stock exchange that are comparable to the requirements for this market segment. – On November 1, 2007, the regulated market was converted into the Regulated Market. Securities that were admitted to the regulated market prior to November 1, 2007 are deemed admitted to the regulated market as of that date. – In the regulated market, the admission requirements and the follow-up obligations of the participants of the official market apply. This also applies to the admission requirements in which the regulated market previously differed from the official market: the company must have been in existence for at least three years; the anticipated market value of the shares to be admitted or – if an estimate is not possible – the company’s equity must be at least EUR 1.25 million, and the free float must be at least twenty-five percent. – The regulated market is an organized market within the meaning of Section 2 (5) of the German Securities Trading Act.
