Einzelfirma, bankliche (individual bank firm)
Anyone wishing to conduct banking business or provide financial services on a commercial basis in Germany, and who requires written permission from the supervisory authority to do so, may not operate their business in the legal form of a sole trader. This is a mandatory requirement under Section 2a of the German Banking Act (KWG); see also Section 35 (2) KWG. In addition, according to § 39 KWG, no one may call himself a “banker” – except in exceptional cases. – In Switzerland, private bankers are licensed and serve selected clients, especially in Basel Geneva, Lausanne and Zurich, or are active in certain market segments. – In the EU, supervisory authorities may only grant permission to a credit institution if – the number of persons who actually determine the bank’s business activities is at least two. Furthermore, these persons must have – the necessary reliability or – adequate experience to perform these functions. Wer in Deutschland gewerbsmässig Bankgeschäfte betreiben oder Finanzdienstleistungen erbringen will, und dazu einer schriftlichen Erlaubnis der Aufsichtsbehörde benötigt, darf seinen Betrieb nicht in der Rechtsform eines Einzelkaufmanns betreiben. Dies schreibt § 2a KWG zwingend vor; vgl. auch § 35, Abs. 2 KWG. Dazu darf sich nach § 39 KWG – ausser in Ausnahmefällen – niemand “Bankier” nennen. – In der Schweiz sind Privatbanquiers zugelassen und bedienen insonders in Basel Genf, Lausanne und Zürich ausgewählte Kunden oder sind in bestimmten Marktsegmenten tätig. – In der EU dürfen Aufsichtsbehörden einem Kreditinstitut die Erlaubnis nur dann erteilen, wenn – die Zahl der Personen, welche die Geschäftstätigkeit der Bank tatsächlich bestimmen, mindestens zwei beträgt. Es müssen diese Personen weiterhin – die notwendige Zuverlässigkeit oder – angemessene Erfahrung besitzen, um diese Aufgaben wahrnehmen zu können.
