Deferred purchase price (DPP)
A common form of financing, particularly in the case of a company acquisition, whereby part of the agreed price does not have to be paid until after the acquisition by the acquirer (a payment mechanism whereby a portion of the purchase price is not paid up-front, but later). The main purpose of such agreements is to give the new owner the opportunity to satisfy himself of the value of the assets (the DPP is used to reflect a post-sale fluctuation in the value of the assets transferred) – See earn-out clause.
