Nominee (also referred to in German as “Beauftragter”, “Sachwalter”, “Vertreter” and, in a derogatory sense, “Strahmann”)

Generally, a person or entity named by another to act on its behalf. – In the financial market in particular, a company – usually a bank – that acts as the owner of securities, but the ownership of these securities is held by unknown addresses. The nominee therefore acts only as a trustee. – However, because prohibited insider trading has also been carried out under this cover, the supervisory bodies at the stock exchanges and the supervisory authorities pay special attention to nominees. However, it has been shown that uncovering the real owners of securities is extremely difficult, if not impossible – several large public companies have introduced voting rights restrictions for nominees in recent years.
